Terms of Service, Collective Shift Inc.

Effective date: October 13, 2026 Last updated: October 13, 2026

These Terms of Service (“Terms”) form a binding agreement between you and COLLECTIVE SHIFT INC. (“Collective Shift Inc.,” “we,” “us,” or “our”), a Delaware corporation. They govern your access to and use of our websites (including collectiveshift.io and collectiveshift.us), application and enrollment forms, educational courses and content, coaching and consultation calls, member community, and SMS program (together, the “Services”). By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

PLEASE READ SECTION 17 CAREFULLY. IT CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES ARE RESOLVED.

1. Educational Services Only, Not Financial Advice

Collective Shift Inc. provides general education and coaching about cryptocurrency, blockchain technology, and digital assets. Nothing provided through the Services is financial, investment, legal, accounting, or tax advice, or a recommendation or solicitation to buy, sell, or hold any security, token, or other asset. Collective Shift Inc. is not a registered investment adviser, broker-dealer, or financial planner. Content is general in nature and does not consider your personal objectives, financial situation, or needs.

Digital assets are highly volatile and speculative, and you could lose some or all of the money you put into them. Past performance is not indicative of future results. You are solely responsible for your own decisions and should consult a licensed professional before making any financial decision. We do not guarantee any outcome, income, or result from using the Services.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.

3. Accounts

You agree to provide accurate, current, and complete information, keep it updated, and keep your login credentials confidential. You are responsible for all activity under your account and must notify us promptly at [email protected] of any unauthorized use. Accounts are personal and may not be shared or transferred.

4. Programs, Fees, Payment, and Refunds

  • Fees. Prices for memberships, courses, and coaching programs are shown at the time of purchase or in your enrollment agreement. All fees are in U.S. dollars unless stated otherwise.

  • Payment. You authorize us and our payment processors to charge your selected payment method for all fees and applicable taxes.

  • Recurring memberships. If you purchase a recurring membership, it renews automatically at the then-current rate until you cancel. You may cancel anytime through your account or by emailing [email protected]; cancellation takes effect at the end of the current billing period.

  • Price changes. We will give at least 14 days’ notice of any fee change for recurring memberships.

  • Refunds. Fees are non-refundable except as stated in the specific program offer or enrollment agreement, or as required by law.

  • Late payment. We may suspend access for unpaid fees.

5. SMS Program Terms

  1. Program description. Collective Shift Inc. offers an SMS program to applicants, enrolled students, and customers who opt in. Messages are transactional and account-related only, including application and enrollment confirmations, session and schedule reminders, schedule changes, customer support follow-ups, and account/platform access issues.

  2. No promotional or investment content. We do not send marketing or promotional messages, trading signals, token or coin promotions, price alerts, or investment advice or solicitations by SMS.

  3. Opt-in and consent. You opt in by checking the optional, unchecked SMS consent box on our forms and providing your mobile number. By opting in, you agree to receive automated transactional text messages from Collective Shift Inc. at the number provided. Consent is not a condition of any purchase. You represent that you are the account holder or authorized user of the mobile number you provide.

  4. Message frequency. Message frequency varies.

  5. Message and data rates. Message and data rates may apply. Check your mobile plan for details.

  6. Opt-out. You can cancel the SMS service at any time by texting STOP (or UNSUBSCRIBE, CANCEL, END, QUIT). We will send one confirmation message, after which you will receive no further SMS messages from us unless you opt in again (for example, by texting START).

  7. Help. Text HELP for help, or contact [email protected].

  8. Carrier disclaimer. Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your carrier and is not guaranteed.

  9. Supported carriers. The program is available on major U.S. wireless carriers (including AT&T, T-Mobile, Verizon, and most regional and prepaid carriers). Carrier support may change without notice.

  10. Changing numbers. If you change or deactivate your mobile number, text STOP from the old number or notify us so we can update our records.

  11. Privacy. Mobile information is handled under our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

  12. Changes. We may change or end the SMS program at any time, with notice where required by law.

6. Acceptable Use

You agree not to: - Use the Services for any unlawful, fraudulent, or harmful purpose; - Harass, threaten, defame, or discriminate against others; - Post or transmit content that is illegal, infringing, obscene, or misleading, or that gives investment or financial advice or solicits investments; - Promote or advertise third-party products, services, tokens, or projects, or solicit other members; - Copy, record, resell, or publicly share paid course content without written permission; - Interfere with, disrupt, scrape, or attempt to gain unauthorized access to the Services, or reverse-engineer any part of them; - Impersonate any person or misrepresent your affiliation.

7. Community and User Content

You are responsible for content you submit (“User Content”). You grant Collective Shift Inc. a non-exclusive, worldwide, royalty-free license to host, display, and use User Content to operate and improve the Services. You represent that you have the rights needed to submit it. We may remove User Content and suspend accounts that violate these Terms. We are not responsible for the conduct of other members or for User Content.

8. Intellectual Property

The Services and all content, including courses, videos, live sessions, reports, text, graphics, logos, and software, are owned by Collective Shift Inc. or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Services for your personal, non-commercial use. All other rights are reserved.

9. Call Recording

Coaching and consultation calls may be recorded and monitored for quality assurance, training, and compliance purposes. We will notify you at the start of a recorded call and obtain consent where required by law. If you do not wish to be recorded, tell us or end the call.

10. Third-Party Services

The Services rely on and may link to third-party services (such as payment processors, scheduling tools, video platforms, and messaging providers). Your use of those services is governed by their terms, and we are not responsible for them.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT. WE MAKE NO GUARANTEE OF ANY FINANCIAL RESULT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COLLECTIVE SHIFT INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRADING OR INVESTMENT LOSSES, ARISING FROM OR RELATED TO THE SERVICES OR ANY DECISION YOU MAKE BASED ON THEM. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless Collective Shift Inc. and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party right.

14. Suspension and Termination

You may stop using the Services and cancel your account at any time. We may suspend or terminate your access at any time if you violate these Terms, fail to pay fees, or create risk or legal exposure for us. Sections that by their nature should survive termination (including Sections 1, 4 (unpaid fees), 7, 8, 11, 12, 13, 17, and 18) will survive.

15. Changes to the Services and Terms

We may modify the Services at any time. We may update these Terms by posting the revised version with a new “Last updated” date; for material changes, we will provide reasonable advance notice. Continued use after changes take effect means you accept the updated Terms.

16. Electronic Communications

You consent to receive communications from us electronically (email, in-platform notices, and, if you opt in, SMS) and agree that electronic communications satisfy any legal requirement that they be in writing.

17. Dispute Resolution; Arbitration; Class Action Waiver

  1. Informal resolution. Before filing a claim, you agree to contact us at [email protected] with a description of the dispute and try to resolve it informally for at least 30 days.

  2. Binding arbitration. Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Kent County, Delaware, or virtually, and judgment may be entered in any court of competent jurisdiction.

  3. Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for intellectual property infringement or misuse.

  4. Class action waiver. You and Collective Shift Inc. agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.

  5. Opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms.

  6. Time limit. Any claim must be brought within one year after it arises, to the extent permitted by law.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to Section 17, the exclusive venue for any court proceeding is the state or federal courts located in Kent County, Delaware.

19. General

These Terms, together with the Privacy Policy and any program-specific enrollment agreement, are the entire agreement between you and Collective Shift Inc. regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
